These Terms of Service ("Terms") govern your access to and use of our website, inquiries, consultations, and related services.
By accessing our website, submitting an inquiry, or using our services, you agree to these Terms to the extent permitted by applicable law.
Paid CRM services are additionally governed by applicable written agreements, including a Master Services Agreement ("MSA"), Statement of Work ("SOW"), Data Processing Agreement ("DPA"), and any relevant service authorizations.
If a signed agreement conflicts with these Terms, the signed agreement controls for the services covered by that agreement, unless it expressly states otherwise.
If you do not agree with these Terms, please discontinue use of our website.

3. Eligibility and Business Use
Our services are intended primarily for businesses and authorized business representatives.
By requesting services, you represent that:
- You are at least 18 years old.
- You have authority to act on behalf of the business you represent.
- You are authorized to request access to or processing of the relevant CRM information.
- Your use of our services complies with applicable laws and contractual obligations.
You may not misrepresent your identity or authority to obtain access to another party's information.
4. Service Inquiries and Initial Audits
Prospective clients may submit inquiries through our website or approved communication channels.
Submitting an inquiry does not establish a paid service agreement, guarantee acceptance of a project, or obligate Opticuity to provide services.
Where offered, an initial CRM audit may evaluate database completeness, consistency, duplicate candidates, pipeline issues, and other indicators of CRM data quality.
Initial audit findings are based on the information available at the time of analysis.
Health scores, audit findings, and recommendations are diagnostic estimates and should not be interpreted as guarantees of operational performance, regulatory compliance, revenue improvement, or future business outcomes.
Access to confidential CRM information may require signed authorization and applicable confidentiality and data-processing agreements before an audit begins.
5. Pricing, Quotes, and Payments
Opticuity generally provides individually negotiated pricing based on factors such as:
- CRM database size
- Number of contacts, companies, leads, and deals
- Data complexity and condition
- Scope of cleanup and enrichment
- CRM platform and access limitations
- Project urgency
- Ongoing maintenance requirements
Unless expressly stated otherwise, website descriptions and estimates do not constitute binding offers.
Final pricing, deposits, payment schedules, invoice due dates, and approved expenses will be established in a written agreement or accepted quote.
Clients agree to pay all authorized charges according to the agreed payment terms.
Opticuity may suspend or decline further services for overdue payments, subject to applicable law and contractual notice requirements.
Any applicable taxes will be handled as specified in the service agreement and required by law.
6. Scope of Work and Service Changes
Each paid project will be governed by an agreed scope of work.
The scope may specify deliverables, project milestones, record volumes, CRM platforms, excluded services, and required client participation.
Services outside the agreed scope may require a revised SOW, change order, additional authorization, or additional payment.
Opticuity is not obligated to perform additional services without mutual agreement.
Project timelines may be adjusted when delays result from missing client information, restricted system access, third-party outages, delayed approvals, or changes in project scope.
7. Client Responsibilities
Clients are responsible for:
- Providing accurate and complete project information
- Maintaining appropriate rights to their CRM records
- Providing authorized access to relevant systems
- Identifying business-specific data rules and requirements
- Reviewing proposed changes when approval is required
- Supplying missing information when reasonably available
- Maintaining lawful collection and use practices for their CRM data
- Responding to approval requests within agreed timelines
Clients remain responsible for determining how their CRM information should be used in their business operations.
Opticuity may rely on client-provided instructions and information unless there is reason to believe that carrying them out would be unlawful, unauthorized, or materially unsafe.
8. CRM Access and Security
Opticuity will access client CRM platforms only to the extent authorized and reasonably necessary to perform contracted services.
Access may be provided through dedicated user accounts, role-based permissions, authorized integrations, or other approved methods.
Clients should not submit ordinary account passwords through unsecured website forms or email.
Where possible, access should use least-privilege permissions and multifactor authentication.
Opticuity may decline to access systems where suitable authorization or security controls are unavailable.
Clients are responsible for maintaining their own CRM subscription agreements and administrator controls.
Opticuity is not responsible for independently managed CRM vendor outages or platform restrictions, except to the extent liability arises from Opticuity's own acts or omissions.
9. Authorization for CRM Data Modifications
Opticuity may recommend modifications to CRM records, including data corrections, field standardization, duplicate merges, ownership adjustments, and pipeline updates.
Access to a CRM system does not, by itself, authorize every possible modification.
Actions involving significant data loss, irreversible deletion, bulk merging, or material pipeline changes may require additional written approval.
Opticuity may preserve records of client instructions, approvals, and completed modifications for documentation and dispute-resolution purposes, subject to applicable data-retention requirements.
Clients acknowledge that some CRM modifications may affect connected applications, automations, reports, or business workflows.
Opticuity will perform agreed work with reasonable care but does not warrant that every modification can be reversed.
10. Data Enrichment and Third-Party Information
Data enrichment may involve identifying, verifying, correcting, or supplementing existing CRM records using authorized information sources.
Enrichment sources may include client-provided records, publicly available business information, licensed data providers, and approved third-party services.
Third-party information may be inaccurate, incomplete, outdated, or subject to licensing and use restrictions.
Opticuity does not guarantee the accuracy, completeness, availability, or ongoing validity of enriched data.
Clients remain responsible for determining whether enriched information may lawfully be used for marketing, recruiting, outreach, profiling, or other downstream purposes.
Opticuity will not knowingly use enrichment sources or methods that violate applicable law or binding contractual restrictions.
11. Data Ownership and Confidentiality
As between Opticuity and the client, clients retain ownership of their original CRM data and the rights they possess in that data.
Clients grant Opticuity a limited right to access, use, process, and modify authorized data solely as reasonably necessary to perform agreed services, comply with law, and exercise rights under applicable agreements.
Opticuity will not sell client CRM databases or use confidential client records for unrelated marketing purposes without appropriate authorization.
Confidentiality obligations may be further defined in an NDA, MSA, or other written agreement.
Disclosure may occur where authorized by the client, required by applicable law, or permitted by the governing service agreement.
12. Privacy and Personal Data Processing
Opticuity may process personal information contained in CRM records when performing services for clients.
Where Opticuity processes personal information on behalf of a client, the parties' respective privacy responsibilities will be governed by applicable law and, where required, a DPA or equivalent contractual terms.
Clients are responsible for identifying applicable privacy requirements and providing lawful processing instructions.
Opticuity will maintain reasonable safeguards appropriate to the nature of the information and services involved.
Our collection and use of personal information through the website are described in our Privacy Policy.
13. AI-Assisted Processing and Automation
Opticuity may use software automation, rule-based processing, and artificial intelligence-assisted tools to support authorized CRM services.
These technologies may assist with:
- Data classification and validation
- Duplicate candidate identification
- Missing-field analysis
- Data standardization
- Audit preparation
- Report generation
- Proposed cleanup actions
AI-generated findings and recommendations may contain errors and are subject to appropriate review procedures.
Opticuity will not intentionally submit confidential client CRM data to an unapproved third-party AI service where such disclosure would violate applicable contractual or legal obligations.
Material data-processing subprocessors and permitted AI processing will be disclosed or approved as required by applicable agreements and law.
Opticuity will not authorize third-party model training on confidential client CRM data without the necessary rights and permissions.
14. Monthly Retainer Services
Clients may elect to purchase recurring CRM maintenance services following an initial cleanup or through a separately agreed arrangement.
Monthly services may include CRM health assessments, health reports, data entry, enrichment, data quality monitoring, and contracted backup activities.
The specific services, record limits, service frequency, pricing, billing cycle, and termination conditions will be defined in the Monthly Retainer Agreement or applicable SOW.
Monthly retainers do not include unlimited data entry, enrichment, corrections, or support unless expressly agreed in writing.
Recurring services will continue or renew only according to the agreed retainer terms and applicable law.
15. Data Backup and Retention
Where expressly included in the contracted services, Opticuity may create and maintain authorized backups of client CRM data.
The applicable agreement will establish:
- Backup frequency and scope
- Storage method and location
- Security and encryption requirements
- Retention periods
- Restoration procedures and limitations
- Backup deletion and offboarding procedures
Offline backups are provided only where specifically contracted and technically implemented.
No backup system guarantees complete protection against data loss, corruption, cyberattacks, or restoration failure.
Opticuity does not guarantee uninterrupted backup availability or successful restoration in every circumstance.
Clients remain responsible for maintaining their own business continuity and disaster recovery arrangements unless specific responsibilities are expressly assigned to Opticuity.
16. Third-Party CRM Platforms
Opticuity may provide services involving third-party CRM platforms, including HubSpot, Salesforce, Zoho CRM, Microsoft Dynamics 365, and other supported systems.
References to third-party products do not imply sponsorship, partnership, endorsement, or affiliation.
Third-party platforms operate under their own terms, privacy policies, technical limitations, and subscription requirements.
Opticuity cannot guarantee continued compatibility with every CRM platform, integration, or API.
Changes to third-party systems may require adjustments to project timelines, scope, or pricing.
17. Deliverables and Client Review
Depending on the service agreement, deliverables may include audit reports, CRM health reports, cleanup workbooks, enrichment summaries, updated records, pipeline findings, and post-cleanup assessments.
Clients are responsible for reviewing deliverables and communicating identified concerns within the review period established in the applicable agreement.
Opticuity will address documented issues according to the agreed scope, acceptance criteria, and correction procedures.
Delivery of a report does not guarantee that the client's CRM database is error-free or permanently optimized.
18. No Guarantee of Business Results
Opticuity provides CRM data quality and operational support services.
We do not guarantee:
- Increased sales or revenue
- Improved lead conversion rates
- Specific recruiting placement outcomes
- Increased commercial real estate transactions
- Particular pipeline growth or forecasting accuracy
- Complete elimination of duplicates or missing information
- Permanent CRM data accuracy
- Specific financial returns
Results depend on numerous factors outside Opticuity's control, including client processes, employee activity, third-party systems, and the accuracy of source data.
19. Intellectual Property
The Opticuity name, branding, website content, proprietary methodologies, templates, and software are owned by Opticuity or their respective licensors, except where otherwise agreed.
Clients may use deliverables according to the applicable service agreement.
Client data remains subject to the ownership provisions in Section 11.
Nothing in these Terms grants clients ownership of Opticuity's pre-existing software, internal tools, proprietary processes, or unrelated intellectual property.
20. Prohibited Website Use
You agree not to:
- Access the website through unauthorized means
- Attempt to bypass security controls
- Introduce malware or harmful code
- Interfere with website operations
- Misrepresent your identity or authorization
- Submit unlawfully obtained data
- Use the website for fraudulent or unlawful activities
- Attempt unauthorized access to other clients' information
Opticuity may restrict website access or decline service requests where reasonably necessary to address suspected misuse.
21. Suspension and Termination
Opticuity may suspend or terminate services according to the applicable written agreement, including for material nonpayment, unlawful instructions, security risks, or material contractual breaches.
Where required, appropriate notice and an opportunity to cure will be provided.
Clients may terminate services according to their applicable agreement.
Termination does not automatically eliminate accrued payment obligations or other provisions intended to survive termination.
Following termination, client data will be returned, retained, or deleted according to applicable contracts, legal requirements, and documented retention procedures.
22. Disclaimer of Warranties
To the maximum extent permitted by applicable law, the website and its general informational content are provided on an "as available" basis.
Except for express warranties contained in a signed service agreement, Opticuity disclaims implied warranties to the extent legally permitted.
Nothing in these Terms excludes warranties, remedies, or rights that cannot lawfully be excluded.
Opticuity remains responsible for performing contracted services according to its enforceable contractual obligations.
23. Limitation of Liability
To the maximum extent permitted by applicable law, Opticuity will not be liable for indirect, incidental, special, consequential, or punitive damages arising from website use, except where such limitations are prohibited by law.
Liability arising from paid services will be governed by the applicable signed service agreement, including its negotiated liability limitations, exclusions, and exceptions.
Nothing in these Terms limits liability that cannot lawfully be limited, including liability for fraud or willful misconduct where applicable law prohibits such limitations.
24. Indemnification
To the extent permitted by applicable law, business clients agree to indemnify Opticuity against third-party claims arising from the client's unlawful provision of data, lack of authority to authorize processing, or material misuse of services, except to the extent caused by Opticuity's own breach, negligence, or misconduct.
Any additional indemnification obligations for paid services will be governed by the applicable signed agreement.
25. Governing Law and Disputes
These Terms are governed by the laws of New Mexico, without regard to conflict-of-law principles, except where mandatory law requires otherwise.
The parties will first attempt in good faith to resolve disputes through written communication.
Unless a signed agreement establishes another lawful dispute-resolution procedure, disputes concerning these website Terms may be brought in the courts of competent jurisdiction in Sandoval County, New Mexico, subject to applicable jurisdictional requirements.
Nothing in this section prevents either party from seeking relief available under applicable law.
26. Changes to These Terms
Opticuity may revise these Terms to reflect changes in business operations, legal requirements, website functionality, or service offerings.
Updated Terms will be posted on this page with a revised effective date.
Material changes will be communicated where required by law or applicable agreement.
Changes to these website Terms will not unilaterally modify an existing signed service agreement unless that agreement and applicable law permit the modification.
27. Severability
If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect to the extent permitted by law.
28. Entire Agreement
These Terms, together with any applicable Privacy Policy and signed service agreements, govern the relevant aspects of the relationship between Opticuity and the client.
For paid services, the applicable MSA, SOW, DPA, and authorized addenda control the specific contractual obligations they address.
